TERMS & CONDITIONS​

1.Definitions

In these Terms, unless context otherwise requires:

• “We”, “us”, “our”, “REN Wellness Retreat”, “REN” means ERMS Berhad (and/or its subsidiaries, affiliates, or designated entities operating the REN Wellness Retreat business).
• “You”, “user”, “visitor” means any person who accesses or uses the Site.
• “Services” means the wellness retreat, accommodation, programs, packages, consultations, events, spa, health services, booking functions and other offerings promoted via or booked via the Site.
• “Green Mount Nursing Care Centre” or “Nursing Services” means the licensed nursing care facility forming part of the REN Wellness Retreat, operated under the license of Beijing Healthcare Management Sdn. Bhd. (Company No. 201701021857 (1236023-V)), in accordance with the Private Healthcare Facilities and Services Act 1998.
• “Content” means all text, graphics, images, videos, audio, logos, software, data, designs, and other materials provided on or via the Site.
• “Third-party sites” means any websites, applications or digital services not owned or controlled by us, which may be linked to or from our Site.

2. Scope & Acceptance of Terms

2.1 By accessing, browsing or using the Site (or any portion thereof), you accept and agree to be bound by these Terms, and any modifications to them from time to time.

2.2 We reserve the right to modify or update these Terms at any time, without prior notice; such modifications will be effective immediately upon posting. Your continued use of the Site following changes constitutes acceptance of the new Terms.

2.3 We may also, in our discretion, suspend, limit or discontinue the Site (or portions thereof) at any time, for maintenance or any other reason, without liability to you.

2.3 Certain Services offered under the REN Wellness Retreat, including the Green Mount Nursing Care Centre, are operated by Beijing Healthcare Management Sdn. Bhd. (BHSB) under applicable laws and licenses. By using these Services, you acknowledge that they are provided under the responsibility of BHSB.

 

3. Permitted Use & License

3.1 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes (e.g. browsing, making bookings, reviewing content) only.

3.2 You shall not:

• Use the Site or its Content for commercial purposes (e.g. resale, sublicensing) without our express written consent,
• Modify, copy, reproduce, distribute, publish, display, transmit, create derivative works from, or otherwise exploit the Content (in whole or in part) except as expressly permitted,
• Remove or alter any trademarks, copyright, proprietary, or attribution notices in the Content,
• Reverse engineer, decompile, disassemble, or attempt to derive source code from any software or application used in the Site,
• Use the Site in any way that violates applicable laws, regulations, or that infringes or misappropriates any rights of third parties,
• Use any robot, spider, scraper, data mining tool, or other automated means to access or retrieve data from the Site (unless expressly permitted by us),
• Interfere with or damage or impair the operation or security of the Site or any servers or networks connected to the Site,
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.

3.3 We may terminate or suspend your access immediately, without notice, if you violate any of these Terms or act in a manner, we deem harmful to other users, us, or the Site.

4. Intellectual Property Rights

4.1 All rights, title and interest (including copyrights, trademarks, trade dress, designs, trade secrets) in the Site and the Content are and shall remain owned by us (or by our licensors).

4. 2 You acknowledge that no rights are granted to you in the intellectual property, except those expressly in Section 3 above.

4.3 If you submit any content, feedback, suggestions, comments, ideas or other materials to us (whether via email, form, forum, chat, or otherwise) (“User Contributions”), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, adapt, publish, translate, distribute and otherwise exploit such User Contributions in any medium or format, and you waive any moral rights in them.

 

5. Booking, Packages & Payments

5.1 Certain Services (e.g. wellness packages, retreats, accommodation) may be booked via the Site or through authorized channels.

5.2 You agree that any booking you make is subject to our booking terms, package terms, cancellation policy, and any supplemental terms specific to that Service.

5.3 Where Services booked involve nursing care at the Green Mount Nursing Care Centre, the contractual relationship for those Services is with Beijing Healthcare Management Sdn. Bhd., as the licensed operator. REN Wellness Retreat may facilitate bookings and payments on behalf of BHSB.

5.4 Payment may be required (in full or partial) at the time of booking, according to the payment methods we accept and as stated in the booking flow.

5.5 You represent and warrant that any payment method used is yours or that you are authorized to use it. You must provide accurate, current, and complete billing information.

5.6 If you fail to pay, or your payment is reversed or fails for any reason, we reserve the right to cancel or withhold the Services, or seek recovery of amounts due.

5.7 In the event of overpayment, we reserve the right to retain or refund the excess at our discretion.

5.8 All bookings are subject to our cancellation and refund policy as published on the Site at the time of booking. Refunds, if applicable, will be processed within 30 days of cancellation, subject to administrative charges.

5.9 In the event of circumstances beyond our reasonable control (including but not limited to natural disasters, epidemics, government restrictions, or force majeure events), we reserve the right to cancel or modify bookings without liability, except to refund amounts already paid for Services not rendered.

 

6. Disclaimers & Limitation of Liability

6.1 “As Is” / No Warranty. The Site, the Content, and all Services are provided on an “as is,” “as available” and “with all faults” basis, without any warranties or representations, express or implied. To the fullest extent permitted by law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, or reliability.

6.2 Health & Wellness Disclaimer. Any information provided on the Site is for general informational purposes only and is not intended as, nor should it be relied upon as, medical or healthcare advice. You should always consult a qualified healthcare professional before making any decisions related to your health, wellness, or medical treatment.

6.3 We do not warrant that the Site will be error-free, uninterrupted, free of viruses or other harmful components, or that defects will be corrected. Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by law, including liability for fraud, death, or personal injury caused by negligence, or liability under applicable Malaysian consumer protection laws.

6. 4 Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall we, our officers, directors, employees, agents, licensors or partners be liable for any direct, indirect, incidental, consequential, special, punitive or other damages (including loss of profits, data, goodwill or business opportunities) arising out of or in connection with your access to or use of the Site, or Services (even if advised of the possibility of such damages). 

6.5 Some jurisdictions may not allow limitation of liability for certain kinds of damages; in such cases, our liability shall be limited to the minimum extent allowed by law.

6.6 To the extent permitted by law, we shall not be liable for any acts, omissions, representations, warranties, or negligence of Beijing Healthcare Management Sdn. Bhd. in the provision of licensed nursing services at the Green Mount Nursing Care Centre.

6.7 Time Limitation for Claims. Any claim or cause of action arising out of or related to the Site or these Terms must be commenced within one (1) year after the cause of action accrues (unless a longer limitation period is required by law).

 

7. Indemnification

You agree to defend, indemnify, and hold harmless REN Wellness Retreat, ERMS Berhad (Company No. 198501012928 (145383-W)), its subsidiaries, affiliates, designated entities (including Beijing Healthcare Management Sdn. Bhd., operator of Green Mount Nursing Care Centre), and their respective officers, directors, employees, agents, licensors, and representatives (collectively, “REN”) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your breach or violation of these Terms;
• your access to or use of our Sites, platforms, or Services;
• your User Contributions;
• your violation of any law, rule, regulation or the rights of any third party.

8. Links to Third-Party Sites & External Content

8.1 The Site may contain links to third-party sites, resources, advertisers, or content that are not under our control.

8.2 We do not endorse, guarantee, or warrant the accuracy or appropriateness of any third-party sites or content, nor do we assume responsibility for them.

8.3 Your use of such third-party content is at your own risk, and you should review the terms and policies of those third parties before use.

8.4 If you leave our Site via any such link, these Terms and our Privacy Notice no longer apply, unless explicitly stated otherwise.

 

9. Privacy, Data & Personal Information

9.1 Your use of the Site is also governed by our Privacy Notice, which forms an integral part of these Terms.

9.2 For nursing services at Green Mount Nursing Care Centre, personal and health data may be collected and processed by Beijing Healthcare Management Sdn. Bhd., in compliance with Malaysia’s PDPA 2010 and the Private Healthcare Facilities and Services Act 1998.

 

10. Termination & Suspension

10.1 We may, at any time, suspend or terminate your access to the Site (or any features thereof), with or without cause, without prior notice and without liability to you. 

10.2 Sections that by their nature survive termination (e.g. Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, Governing Law, etc.) shall survive any termination or expiration of these Terms.

 

11. Notices & Communications

11.1 We may provide notices to you via email, postings on the Site, or other means. Notices become effective when delivered (for email) or posted.

11.2 You agree that notices from us electronically satisfy any legal requirement that such communications be in writing.

11.3 You must keep your contact information current and notify us of any changes.

 

12. Governing Law & Dispute Resolution

12. 1 These Terms shall be governed by and construed under the laws of Malaysia (excluding its conflict of law rules).

12.2 Any dispute, claim or controversy arising out of or relating to these Terms, your use of the Site, or the Services (collectively, “Dispute”) shall first be attempted to be resolved amicably through negotiations.

12.3 If negotiation fails, the Dispute shall be submitted to arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia, in accordance with the AIAC Arbitration Rules then in effect.

12.4 If arbitration is not enforceable or available, you and we each consent to the exclusive jurisdiction of the courts of Malaysia in respect of any action or proceeding not subject to arbitration.

12.5 Any disputes relating to nursing services provided at the Green Mount Nursing Care Centre shall be deemed to involve Beijing Healthcare Management Sdn. Bhd. as the service provider, and subject to the laws of Malaysia.

 

13. Severability & Waiver

13.1 If any provision (or part thereof) of these Terms is held invalid, illegal or unenforceable, it shall be severed or modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.2 No waiver by us of any right or remedy pursuant to these Terms shall be effective unless in writing; and no failure or delay in exercising any right or remedy will operate as a waiver.

 

14. Miscellaneous

14.1 Headings are for convenience only and do not affect interpretation.

14.2 These Terms constitute the entire agreement between you and us regarding use of the Site and supersede all prior or contemporaneous communications or agreements (oral or written) concerning the same.

14.3 If you access the Site from outside Malaysia, you are responsible for compliance with all applicable foreign laws.

14.4 All rights not expressly granted to you are expressly reserved by us.
